e siglato da Paolo Fresco, allora presidente di Fiat e John Smith jr,
chairman e 'ceo' di General Motors, prevede peraltro la rinuncia a un
giudizio tramite giuria. La sezione 10.11 del Master Agreement indica
infatti "Fiat e Gm rinunciano in modo irrevocabile a tutti i diritti di
processo tramite giuria in ogni azione, procedimento o controquerela (sia
basata su contratto, torto o altrimenti) che insorga da o sia legato a
questo accordo". Gli avvocati indicati dall'accordo, per tutte le
comunicazioni ad esso inerenti, sono per Fiat gli studi Shearman and
Sterling di New York e Grande Stevens-Pedersoli di Torino e per General

Caro Enzo, negli ultimi giorni Fresco aveva affermato di conoscere bene i
termini dell'accordo e che era inattaccabile......ma qui non leggono.

Non solo ma guardando i movimenti appare chiaro che ci sia chi voglia
entrare a sconto nel titolo.

STOCKWATCH Fiat sharply lower over failed deal with GM on put option

MILAN (AFX) - Fiat shares were sharply lower in late morning trade after the
group failed to reach an agreement with General Motors regarding the
cancellation of Fiat's right to sell its ailing car business to the US
group,
dealers said.
At 10.52 am, Fiat was 4.44 pct lower at 5.92 eur, off a low of 5.82.
The S&P/MIB index was 0.11 higher at 31,549 points.
However, dealers said they believe that Fiat can still reach an agreement
with GM and that current prices could be an opportunity to buy into the
stock.
One said Fiat could obtain between 1.5-2 bln usd from GM for waiving its put
option.
Earlier this week, there was media speculation that Fiat could obtain about
2 bln usd.
The dealer said that if such a deal were confirmed it would be "very good
for Fiat."
An industry source said that "everything is now possible" after the groups
failed to reach an agreement during the mediation period which ran from Dec
16
to yesterday, including the exercise of the put option or that one or both
parties go to court.
Fiat can exercise the option from today until July 24, 2010.
Another dealer said that he expects the companies to continue operating
their 50:50 powertrain and purchasing joint ventures "provided that Fiat and
GM
don't go to court".
Fiat could accept a higher stake in one or both of the ventures as part of a
compensation deal for surrendering the put, he said.
Increased decision-making powers in the joint ventures could "allow Fiat to
make new agreement with other carmakers" he added.
The dealer also noted that new car registration figures for Fiat in January
were "bad".
"But the market had already discounted them, and they have less influence on
the stock than the put option story," he added.
Fiat's new car registrations in Italy were 12.7 pct lower in January
compared to the same period of the previous year, while its market share was
down to 27.76 pct from 30.36 pct.
